This document outlines the milestone-based release schedule for the ${{ '{:,}'.format(investment_amount) }} seed investment. The investment is structured to release in four (4) tranches over the 12-month deployment period. Each tranche release is tied to documented progress against agreed metrics, providing the Investor with visible accountability and the Company with a disciplined deployment framework.
Tranche 1 releases at closing, immediately upon execution of the SAFE and Company incorporation. Tranches 2 through 4 release upon meeting Milestones A, B, and C respectively, detailed below.

At each milestone review point, the Founder will deliver to the Investor a written report documenting performance against each criterion, including supporting data (platform metrics dashboard, bank statements as applicable, contracts, and other relevant materials). If a milestone is partially achieved, the Company and Investor will meet in good faith to determine whether a partial tranche release or a revised milestone timeline is appropriate. Tranches will not be unreasonably withheld.
In the event the Company achieves multiple milestones ahead of schedule (e.g., Milestone B achieved by Month 4), the Investor may, at their discretion, accelerate release of subsequent tranches. Acceleration is intended to support faster deployment when growth justifies it.
Platform members means accounts that have completed sign-up across any of the four user types (Filmmakers, Actors, Investors, Supporters), including free-tier accounts. MRR means recurring subscription revenue across paid filmmaker tiers (Solo, Writer’s Room, Production Co., Studio), paid actor Studio add-on, and the Above the Line producer plan; non-recurring success fees on closed Deal Room transactions are excluded.
